ProspectVerity Terms of Use
Effective date: [[TERMS EFFECTIVE DATE]]
These Terms of Use govern access to and use of ProspectVerity, an internal-first local business discovery and review service (the “Service”). By using the Service, you agree to these Terms.
1. Service operator and ownership
ProspectVerity is operated by ProspectVerity LLC, an Arizona limited liability company.
The Service, its software, design, documentation, and original content are owned by the operator or its licensors and are protected by applicable intellectual-property laws.
Except for the limited right to use the Service under these Terms, no ownership right or license is transferred to you.
2. Internal-validation status and authorized access
ProspectVerity is currently an internal validation service. It is not offered for public self-service registration or general customer access. Access is invitation-only and limited to authorized users acting for the operator or an approved workspace.
You must provide accurate account information, safeguard your sign-in methods and sessions, and promptly report suspected unauthorized access. You may not share access, evade workspace restrictions, or attempt to access another workspace.
3. Acceptable use
The Service is designed to help authorized users identify, research, review, prioritize, and export business prospects for lawful business-development and outreach activities.
You may use the Service only for lawful, authorized purposes and must comply with all applicable laws, provider terms, opt-out obligations, suppression lists, and channel-specific consent requirements relating to your outreach.
You must not:
- scrape, harvest, cache, export, combine, resell, or redistribute third-party data except as expressly permitted by the applicable provider terms and the Service;
- bypass technical, rate, geographic, access, retention, attribution, export, or spending controls;
- interfere with the Service, probe it without authorization, upload malicious material, or use it to violate another person's rights;
- assume that a discovered email address, telephone number, website, social profile, or other contact detail establishes consent for every form of outreach; you remain responsible for determining whether the intended email, call, text message, automated communication, or other contact is lawful; or
- use the Service for unlawful, deceptive, discriminatory, harassing, or abusive outreach.
4. Business and prospect information
The Service helps authorized users collect, organize, corroborate, and review information about businesses. Information may be incomplete, delayed, duplicated, inaccurate, or unavailable. Website classifications, review states, and other observations support human review; they are not guarantees, professional advice, credit decisions, or determinations of buyer intent.
You are responsible for verifying information before relying on it and for determining whether a proposed outreach method is lawful and appropriate, including compliance with applicable email-marketing, telemarketing, text-messaging, do-not-call, consent, identification, disclosure, suppression-list, and opt-out requirements.
ProspectVerity supports lawful B2B prospecting and outreach. It does not determine or guarantee whether a particular communication is legally permitted.
5. Third-party data and services
The Service depends on third-party services for functions such as hosting, authentication, databases, email delivery, business data, error monitoring, and uptime monitoring. Their availability, accuracy, and security practices are outside ProspectVerity's control, and their separate terms may apply.
Google Maps Platform and Places API content is subject to the Google Maps Platform Terms of Service, applicable service-specific terms, and Google Privacy Policy. Google Maps content must be displayed with required attribution when shown to users and must not be stored, used, transferred, or exported outside the rights granted by Google and the Service.
6. User-provided material and feedback
You retain any rights you have in material you lawfully submit. You grant the operator a limited right to host, process, reproduce, and display that material as needed to operate, secure, and improve the Service. You represent that you have the authority to provide it.
If you provide product feedback, the operator may use it without restriction or compensation, provided it does not publicly identify you without permission.
7. Service availability and changes
The Service may change, suspend, restrict, or discontinue features at any time, including to protect security, comply with provider rules, manage costs, or revise the internal validation program. The operator does not promise uninterrupted or error-free operation.
8. Suspension and termination
Access may be suspended or terminated for a violation of these Terms, a security or provider-policy risk, discontinued internal use, or another reasonable operational need. On termination, you must stop using the Service. Provisions that by their nature should survive termination remain in effect.
9. Disclaimers
To the extent permitted by law, the Service and its information are provided “as is” and “as available.” The operator disclaims implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. Some jurisdictions do not allow certain disclaimers, so portions of this section may not apply to you.
10. Limitation of liability
To the extent permitted by law, the operator and its suppliers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or business opportunities arising from the Service.
[[LEGAL REVIEW REQUIRED: approve an aggregate-liability cap, measurement period, exceptions, and any indemnification terms.]]
11. Governing law and disputes
[[LEGAL REVIEW REQUIRED: identify the governing state, applicable county, venue, litigation or arbitration process, and dispute-notice process.]]
12. Changes to these Terms
These Terms may be updated as the Service, providers, or legal requirements change. The revised effective date will be posted on this page. Material changes will be communicated to authorized users through a reasonable internal channel before they take effect when practicable.
